Version 2026-10-26.1 · Effective when you affirmatively accept this version. Published .
1. Agreement and eligibility
These terms are an agreement between you and M3GA Studios LLC, an Ohio limited liability company principally located in Mahoning County, Ohio (“Gather,” “we,” “us”). They cover the Gather website, API and iOS app (the “Service”). Our Privacy Policy explains our handling of personal information. Acknowledging that notice does not consent to optional usage statistics.
You must be at least 18, have reached the age required to enter this contract where you live, and be legally able to use the Service. Account creation may be available through an invitation or public registration when enabled. Neither route waives eligibility requirements. You may use the Service only where doing so is lawful, including under applicable sanctions and export laws. Availability may be limited by location; access alone does not establish that we offer every feature in every country.
You accept the identified version through the unchecked agreement controls during account creation, invitation activation or a later account review. We record the accepted terms version, acknowledged privacy version, server timestamp and whether acceptance occurred during account creation or account review. Viewing a footer link, receiving an invitation or merely keeping an old account is not an affirmative acceptance of this version. If you do not agree, do not accept; you can still read help and policies, manage available privacy/deletion controls or contact support.
2. Your account
Provide accurate account information and keep your password, passkeys, recovery links and devices secure. Do not share accounts, sell invitations or impersonate someone else. You are responsible for the activity you authorize and for reasonable care of your credentials. Notify support@gatheraway.app promptly if you suspect unauthorized access, and revoke affected sessions when possible. This provision does not make you liable for our misconduct or override protections that the law gives you for unauthorized activity.
Trip ownership and trip administrator permissions apply to that trip; they do not grant application-wide administrator powers. Only share invitations or grant management roles to people you trust. You remain responsible for reviewing changes made by authorized travelers. We may verify requests before changing access or disclosing private records.
3. Plans, costs and your content
Gather is a collaboration and recordkeeping tool, not a travel agent, booking provider, bank, insurer, emergency service or professional adviser. Confirm destinations, opening hours, entry requirements, accessibility, reservations and safety with the appropriate provider or authority. Place lookup uses public information that may be incomplete or out of date. A scheduled item, vote or reservation reference is not proof of a booking.
Exchange rates and cost estimates are entered or approved by travelers. Personal spending allowances are the same nominal number in each traveler’s preferred currency, not equivalent purchasing power. Expense allocations and recorded settlements do not move money or establish that a payment occurred. Check calculations and resolve shared costs with your group. You contract separately with any travel, map or other outside provider.
You retain rights in content you submit. You give us a nonexclusive, worldwide, royalty-free license to host, store, copy, transmit, display and technically adapt that content only as reasonably needed to operate, protect and provide the Service, carry out your sharing choices and meet legal obligations. You confirm that you have the necessary rights and permissions to submit it. This is not a transfer of ownership or a license to sell your private plans for advertising.
Other authorized trip members can view and manage shared information according to their roles. Do not upload another person’s sensitive data without a lawful reason and their permission where required. Shared records, balances and text can remain after an account is deleted, as explained in the Privacy Policy; deletion does not remove copies or exports another traveler already holds. Remove unnecessary personal details before sharing them.
We and our licensors retain rights in the Service’s software, branding and original materials. You receive a limited, revocable right to use the Service under these terms. Open-source components remain governed by their own applicable licenses; these terms do not take away rights those licenses or mandatory law give you.
4. Acceptable use
- Do not break the law, infringe rights, harass people or submit malicious content.
- Do not access another account or trip without permission, bypass authentication, permissions, origin protection or rate limits, or interfere with availability.
- Do not scrape, harvest, bulk-extract or resell Service or user data without written authorization. Do not probe, overload or test security without authorization. Report suspected vulnerabilities privately through support without accessing others’ data.
- Do not reverse engineer, decompile or attempt to obtain nonpublic source code, except to the extent an applicable open-source license or mandatory law permits it. Normal accessibility tools and uses the law protects are not prohibited by this restriction.
- Do not use stolen credentials, evade a suspension, misrepresent payments or submit knowingly false support or legal requests.
We may investigate suspected violations and use proportionate restrictions to protect travelers and the Service. We do not promise to monitor every shared field or resolve every disagreement within a trip.
5. Subscriptions and payments
Gather Premium is an optional recurring web subscription when checkout is available. The price, currency, billing frequency and applicable taxes are shown before payment. Monthly and annual plans renew at the same frequency until cancelled. There is no free trial, minimum multi-period commitment or early termination fee in this offer. Trip expense records are separate from purchasing Gather and do not transfer money between travelers.
One trip owner's active Premium access covers premium tools on the trips they own; invited travelers do not need their own subscription to participate in those tools. It does not grant access to someone else's trip. Premium currently covers reusable itinerary templates, alternative budget scenarios and private trip briefs, subject to the limits described in the product. Future roadmap features are not part of this purchase.
Web payments use Stripe's hosted checkout. Before opening checkout, you must separately select an initially unchecked recurring-billing agreement for the displayed plan. We record the plan, price quote, agreement versions, server timestamp and checkout request identifier; accepting these general Terms alone does not authorize recurring charges. Stripe collects payment and billing details directly. Review its final payment total and renewal terms before confirming payment. A return from checkout alone does not establish payment or premium access.
You can open the Stripe billing portal from your web account's billing page to update payment details, review available billing records or cancel renewal online. Cancellation stops future renewals and normally leaves access through the end of the paid period shown in your billing status. A failed, unpaid or otherwise inactive subscription may prevent new premium work; existing saved plans and ordinary viewing, editing and deletion remain available under the usual permissions. Resolve billing issues through the portal or support. There is no promised payment-failure grace period.
Except where applicable law or the purchase offer requires a refund, charges for a started billing period are not automatically prorated or refunded when you cancel. Send refund requests to support@gatheraway.app so we can review your circumstances. Statutory withdrawal, cancellation, refund and other nonwaivable consumer rights take precedence. A cancellation does not waive those rights. Any legally required price-change notices or renewal reminders will be provided before the change or renewal as required; we will not use this paragraph to impose an undisclosed fee. No app-store subscription is offered through this web checkout.
Stop future renewal and finish or expire any open checkout before deleting a billing account. Gather checks the saved provider state before allowing deletion; support can help resolve an outstanding checkout or a provider outage. After the required account checks, deleting your account immediately ends any remaining subscription and paid access. It does not automatically prorate a charge, request a refund or erase invoices and records Stripe must retain. The Privacy Policy explains retained billing and shared trip records.
If a charge appears wrong, please contact support so we can investigate promptly. This request does not waive or delay your legal right to dispute a charge with your bank. A good-faith dispute is not itself prohibited conduct. We may restrict access for reasonably suspected payment fraud or knowingly false claims, subject to applicable law, notice where appropriate and an opportunity to contact support.
6. Changes, suspension and ending access
We may improve or change features and these terms. Material changes will be identified through an in-app notice or other appropriate notice, with an effective date and any advance notice required by law. Where agreement is required, we will request affirmative acceptance of the new version. Posting a new page does not manufacture acceptance of changed contractual terms. Arbitration changes do not apply retroactively to an already accrued dispute or a dispute of which either party had notice before the change.
You can stop using Gather and request account deletion through Settings or support. We may suspend or end access for a material breach, unlawful use, an immediate security threat or a legal obligation. Where reasonable and lawful, we will give notice, explain the reason and allow a correction or appeal to support. Immediate action may be necessary to protect others or comply with law. Suspension does not eliminate mandatory consumer remedies or make retained shared records your private property.
If we discontinue the Service or materially reduce a paid plan, we will provide notice and any refunds or other remedies the law or the applicable purchase terms require. Keep copies of important information; Gather is not an emergency or guaranteed archival service. Account deletion follows the distinctions in the Privacy Policy.
7. Warranties, liability and indemnity
TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THE ACCURACY OF USER OR OUTSIDE INFORMATION, OR THAT EVERY SECURITY INCIDENT CAN BE PREVENTED.
We use reasonable technical and organizational security measures. You should also protect credentials and verify information before relying on it. These disclaimers do not displace any statutory guarantee or duty that cannot lawfully be excluded.
TO THE EXTENT PERMITTED BY LAW, M3GA STUDIOS LLC AND ITS PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY ARISING FROM THE SERVICE OR THESE TERMS. OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These exclusions and limits apply only where lawful. They do not exclude or limit fraud, willful misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence where protected by law, or any other nonwaivable liability or consumer remedy. Foreseeable losses and statutory rights of EU, UK and other protected consumers remain subject to their mandatory local rules.
To the extent permitted by law, you will indemnify us against third-party claims and reasonable resulting costs caused by your unlawful content, intentional misuse of the Service or material violation of another person’s rights. This does not cover our own wrongdoing or impose liability a consumer cannot lawfully bear. We will notify you of a covered claim and allow a reasonable opportunity to participate in the defense; no settlement may impose an admission or nonmonetary obligation on you without your consent.
8. U.S. dispute resolution: individual arbitration
THIS SECTION APPLIES ONLY TO ELIGIBLE U.S. DISPUTES AND IS SUBJECT TO NONWAIVABLE LAW. UNLESS YOU TIMELY OPT OUT OR AN EXCEPTION APPLIES, YOU AND M3GA STUDIOS LLC AGREE TO BINDING INDIVIDUAL ARBITRATION INSTEAD OF A COURT OR JURY TRIAL. EACH PARTY WAIVES A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ARBITRATION OR ACTION TO THE EXTENT PERMITTED BY LAW.
This section applies if you reside in the United States when you accept it, subject to its exceptions and applicable law. It covers disputes between you and us arising from the Service, these terms or our relationship arising after your affirmative acceptance, whether based in contract, statute or another legal theory. The Federal Arbitration Act governs its interpretation and enforcement. It does not require an EU or UK consumer to arbitrate, waive nonwaivable rights or sue away from a forum that mandatory law protects.
First, a 60-day informal process
Before commencing arbitration, send an individualized notice to support@gatheraway.app with the subject “Legal dispute.” Include your name, account identifier, a return contact, the facts and the relief requested. Do not send passwords or payment-card details. We will send our notice to the contact available for your account or another contact you designate. The parties will attempt in good faith to resolve the dispute for 60 days after receipt; either may request a reasonable remote discussion. This requirement does not prevent a small-claims filing, regulator complaint or urgent protective relief. Applicable contractual time limits are paused during this required process, and statutory limitation periods are tolled to the extent permitted by law.
Administrator, procedure and fees
Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules and Consumer Due Process Protocol, and its applicable Mass Arbitration Supplementary Rules when they apply. Current rules and filing information are available at adr.org/consumer or from AAA. The arbitration is individual, with a neutral arbitrator and a written reasoned decision. The arbitrator may grant the individual remedies available under applicable law and these terms, including individual injunctive relief.
Provider rules and applicable law govern filing fees and allocation; we will pay the business fees and any additional amounts those rules or the law require. We will not seek costs that consumer rules prohibit. A hearing may be remote or, when an in-person hearing is appropriate, in your home county or another mutually agreed convenient location, subject to AAA’s rules. Neither party is required to travel to Ohio merely because this agreement names Ohio law. If AAA declines administration and the parties cannot agree on an eligible administrator, either may proceed in a court with proper jurisdiction; we will not force a substitute provider unilaterally.
Delegation and court-reserved questions
Except for the questions expressly reserved here, the arbitrator has exclusive authority to resolve disputes about the scope, interpretation, applicability and enforceability of this arbitration agreement, including whether a claim must be arbitrated. A court decides whether an agreement was formed or exists, whether an opt-out was timely and valid, the enforceability of the class/representative waiver or a public-injunction restriction, and any question the law does not permit delegation. The arbitrator may not override the limits in this paragraph.
Coordinated or mass demands
Similar demands filed by multiple claimants may be coordinated or placed in procedural batches only as AAA’s applicable mass-arbitration rules and administrator permit. Each claimant retains an individual claim and the required consumer fee protections. We do not impose a separate mandatory “100 at a time” queue, prevent a claimant from filing, or condition access on unrelated claimants finishing first. Any agreed batching must preserve individualized decisions and meaningful access, avoid unreasonable delay and pause applicable contractual deadlines while a claim waits; statutory tolling remains governed by law. Batching is not permission for class arbitration.
Small claims, public relief and other exceptions
Either party may bring an eligible individual claim in a small-claims court. Either may ask a court for temporary relief needed to protect rights while arbitration is pending. You may report matters to regulators or public authorities and participate in their proceedings. Nothing waives a right to public injunctive relief under California law or another nonwaivable remedy. A court determines how a legally required public-relief claim proceeds and whether any arbitrable individual claim can be severed. We do not require a remedy to disappear because it cannot be granted in individual arbitration.
30-day email opt-out
You may opt out of this arbitration agreement within 30 days after you first affirmatively accept it. Email support@gatheraway.app with the subject “Arbitration opt-out,” your name, account identifier, date of acceptance if known, and a clear statement that you opt out. Your typed name is sufficient; no printed letter or identity document is routinely required. Keep a copy and contact us if you do not receive confirmation. A timely opt-out applies to the arbitration agreement and its accompanying court class/jury waivers, without affecting the rest of these terms or your ability to use Gather. A later terms update does not silently undo an opt-out or shorten an already running window.
If a class/representative waiver cannot lawfully be enforced for a particular claim, that claim proceeds in court to the extent required; the rest remains effective only where lawful. The parties do not agree to class arbitration without a separate express agreement. This section survives account closure for covered disputes arising while it applied, subject to a valid opt-out and mandatory law. We do not shorten a statutory claim deadline in these terms.
9. Governing law, venue and other consumer rights
The Federal Arbitration Act governs the arbitration agreement. Otherwise, Ohio law governs these terms without its conflict-of-law rules, except that mandatory protections of your home jurisdiction continue to apply. For a dispute properly heard in court, you and we submit to the state courts in Mahoning County, Ohio or the appropriate federal court for the Northern District of Ohio, unless applicable consumer law allows you to use your home courts or another required forum. This is not a waiver of such a forum or of a small-claims option.
If you are an EU, UK or other consumer with mandatory local protections, these terms do not remove your statutory service guarantees, remedies, cancellation rights, access to your home courts, or rights that cannot be limited through arbitration, class or jury waivers. Liability and dispute restrictions apply only to the extent enforceable for you. You may contact the relevant regulator, supervisory authority or consumer agency.
10. General terms and contact
These terms and any separately accepted feature or purchase terms form the entire agreement about their subject matter, replacing earlier agreements on that subject. Privacy notices describe data practices; optional consent choices remain separate. If a provision is unenforceable, it is limited or severed to the extent legally permitted and the remainder continues, subject to the dispute-specific rules above. Failure to enforce a provision once is not a waiver of later enforcement.
You may not transfer your account or contractual rights without our consent unless law permits it. We may assign this agreement in a merger, restructuring or transfer of the Service if that does not unlawfully reduce your protections; we will give notice where required. Content permissions needed for retained shared records, accrued obligations, lawful liability limits, dispute resolution and provisions intended by their nature to survive continue after termination to the extent applicable.
Send support questions, legal notices, arbitration opt-outs and requests for an appropriate formal service-of-process contact to support@gatheraway.app. Email is the designated channel for contractual notices and opt-outs, not a waiver of legally required service procedures. Operated by M3GA Studios LLC, Mahoning County, Ohio, United States. See Support for practical help and the Privacy Policy for data requests.
